HT PARTNER PROGRAM

These Terms and Conditions (“Terms and Conditions”) govern Hot Topic’s Partner Program (the “Program”) and your participation in the Program.
IMPORTANT NOTE: THESE TERMS AND CONDITIONS CONTAIN PROVISIONS THAT LIMIT HOT TOPIC’S LIABILITY TO YOU, ELIMINATE YOUR RIGHT TO A TRIAL BY JURY, REQUIRE YOU TO RESOLVE DISPUTES WITH HOT TOPIC ON AN INDIVIDUAL BASIS AND NOT AS A PART OF ANY CLASS OR REPRESENTATIVE ACTION, AND THROUGH FINAL AND BINDING ARBITRATION. SEE SECTION XII (12) BELOW.
I. GENERAL
In these Terms and Conditions, “Hot Topic,” we,” “us,” or “our” means Hot Topic, Inc., and its subsidiaries, related entities, officers, directors, employees, and/or their designee(s), and “you,” “your,” or “HT Partner” means the participant (i.e., the HT Partner) of the Program. The Program is open to any person around the world who is 16 years of age or older at the time of enrollment and has an active Social Media Account.
By requesting to join the Program or participating in the Program or any Hot Topic promotional campaign (“Campaign”), you agree to be bound by these Terms and Conditions.
Notwithstanding the foregoing, in the event a HT Partner executes a separate written agreement with Hot Topic for promotional services, then said agreement will govern to the extent there are any conflicts between that agreement and these Terms and Conditions.
II. JOINING THE PROGRAM
You can request to join the Program at https://www.hottopic.com/htpartners/ by filling out a request form and submitting it to Hot Topic. Limit one form per person. Hot Topic has the sole right and discretion to accept or reject any request to join the Program. All personal information provided in connection with the Program is subject to Hot Topic’s Privacy Policy, available at https://www.hottopic.com/customer-service/hot-topic-policies/privacy-policy/.
By submitting a request to join the Program, you agree to receive communications from Hot Topic regarding the Program and Campaigns. You may not unsubscribe from these transactional emails. However, you may unsubscribe from Hot Topic promotional emails at any time via the unsubscribe link in those emails. In addition, you can also unsubscribe from receiving promotional emails by calling 1.800.892.8674 or by sending an email to internetadministrator@hottopic.com.
If you are invited to join the Program, you will be required to create an account on the LoudCrowd influencer marketing platform (“LoudCrowd”), located at https://creators.loudcrowd.com/s/hot-topic/login. By signing up with LoudCrowd, you agree to comply with all terms and conditions associated with the use of the LoudCrowd platform, including, but not limited to, LoudCrowd’s Terms of Use, located at https://loudcrowd.com/msa/. You also consent to us communicating with LoudCrowd to gather information about your participation in the Program, including statistical or usage data relating to your Content or your use of LoudCrowd.
III. THE PROGRAM
If you are selected to join the HT Partner Program, you will receive a notification from Hot Topic with instructions on how to create a LoudCrowd account. Once your LoudCrowd account is approved and you are officially enrolled in the Program, you may begin building your LoudCrowd storefront and sharing social media content as an HT Partner.
From time to time, Hot Topic may offer you additional opportunities to promote specific merchandise as part of your Program membership. Participation in any of these promotional Campaigns is entirely optional. Hot Topic will determine, at its sole discretion, which HT Partners are invited to participate in any given Campaign.
You are free to withdraw from the HT Partner Program or from any specific Campaign at any time and for any reason. To do so, simply email us at support@htpartnerprogram.com to notify us of your decision.
IV. TERMS OF SERVICE
Hot Topic expects all HT Partners who participate in the Program to abide by these Terms and Conditions. Failure to abide by these Terms and Conditions may result in removal from the Program.
1. You are solely responsible for your conduct and any data, text, information, names, graphics, filters, photos, stories, reels, audio, video clips and links (collectively, “Content” or “Social Media Posts”) that you publish, post or display (collectively, “post”) on your Social Media Accounts in connection with the Program or a specific Campaign. “Social Media Accounts” refers collectively to Instagram pages, TikTok pages, Facebook pages, YouTube pages, Pinterest accounts, Twitter accounts, and Snapchat accounts.
2. All Content you post should be original and creative in nature.
3. All Content you post must comply with the Code of Ethics Guidelines set forth in Section VI below.
4. All Content you post must comply with the Federal Trade Commission (“FTC”) social media endorsement guidelines set forth in Section VII below.
5. You are responsible for all costs associated with Social Media Posts, including purchasing any merchandise from Hot Topic that you are promoting on Social Media Posts or storefront. You will also control the manner and means of creating, recording, photographing, transmitting and posting your Social Media Posts in your discretion and independent judgment.
6. Hot Topic may share or repost your Social Media Posts on Hot Topic’s Social Media Accounts, and/or use your Content, or any portion thereof, on Hot Topic’s website or any marketing materials.
7. Hot Topic may remove any HT Partner from the Program for any reason, at any time, at its sole discretion, and without prior notice. Reasons for removal may include, but are not limited to, not following FTC guidelines, violating Program policies, or engaging in conduct that could reflect poorly on Hot Topic, its brand, or the integrity of the Program.
8. You may not post unique referral links, promo codes, or other Program-related incentives you receive through the Program on coupon or discount websites, browser extensions (such as Honey or Capital One Shopping), or social couponing groups (such as Facebook deal-sharing pages). This restriction applies only to content directly posted or shared by a HT Partner as part of the Program. Violating this rule may result in removal from the Program.
V. EARNING COMMISSION
As an HT Partner, you are eligible to earn a commission on qualifying sales generated through your unique affiliate link or trackable content. When a customer clicks your affiliate link, any purchase they make within 14 days of their initial click will be attributed to you (unless they click through another HT Partner’s link during that time). Customers may browse anywhere on the site and complete their purchase within 14 days for the sale to qualify under your link.
The current commission rate is ten percent (10%) of the Net Sale Amount. The “Net Sale Amount” excludes taxes, shipping fees, gift card purchases, charitable items or donations, and any returns or cancellations made within 10 days of the purchase. This rate is subject to change at Hot Topic’s sole discretion, and we will make reasonable efforts to notify you in advance of any changes. Commissions are capped at a maximum of $10,000 per day per participant, regardless of sales volume.
Commissions will be awarded only for sales that are properly tracked and attributed to your participation in the Program. You acknowledge that Hot Topic is not responsible for any tracking failures due to technical limitations, customer actions (such as disabling cookies or using ad blockers), or other factors outside of Hot Topic’s control.
You will receive your commission payments via ACH direct deposit, Venmo, or PayPal, depending on the payment method you select. Commission payments will be made by the seventh (7th) calendar day of each month and will include all qualifying sales from the previous month.
Commission payments are processed by our third-party provider, LoudCrowd, in accordance with their terms and procedures. To participate in the Program and receive payments, you must create and maintain an active LoudCrowd account and provide all required information. You can create your LoudCrowd account here: https://creators.loudcrowd.com/s/hot-topic/login.
For each commission payment, LoudCrowd will send you a payment link through which your payout will be processed and your preferred payment method can be selected. Hot Topic is not responsible for any delays, errors, or issues that may arise from your use of LoudCrowd’s platform or services.
You are responsible for regularly reviewing your sales and commission activity in your LoudCrowd dashboard. If you believe there is an error in your tracked sales or commission payments, you must notify us in writing within thirty (30) days of the transaction or payment date. Failure to do so within this period may result in forfeiture of the disputed commission. Please direct all inquiries to support@htpartnerprogram.com with relevant details and documentation.
All commissions are paid in U.S. dollars. You are solely responsible for any and all tax reporting, filings, or payments that may be required under federal, state, or local law in connection with your earnings from the HT Partner Program.
You acknowledge and agree that your sole compensation for participating in the HT Partner Program is the commission you may earn through eligible sales. No additional compensation, reimbursement, or benefits will be provided.
Hot Topic reserves the right to withhold or revoke commissions earned through any fraudulent or misleading activity, or any activity that, in Hot Topic’s sole discretion, is deemed to be in violation of the Program’s intent or terms. This includes, but is not limited to, self-referrals, use of unauthorized promotional methods, manipulation of tracking links, or any other actions intended to artificially inflate commission earnings or mislead customers. Violations may result in disqualification from the Program, forfeiture of unpaid commissions, and legal action where appropriate.
VI. CODE OF ETHICS GUIDELINES
Any Social Media Posts/ Content you post in connection with the Program must comply with the following Code of Ethics Guidelines.
1. Do Not Post Content that Is Not Yours. By posting Content as an HT Partner, you are guaranteeing to Hot Topic that either you own all rights to the Content (including without limitation all the rights to any music or lyrics that can be heard in the Content), or that you have permission to post the Content from the owner(s) of all of the rights to the Content. If you do not own all the rights or do not have permission to post the Content, this could result in serious consequences for you and for Hot Topic, for which Hot Topic would hold you responsible.
2. Do Not Post Content that Contains Music that Is Not Yours. You should not post any Content that contains music or lyrics, unless you are the composer or author of the material and/or you have all rights necessary to permit the use of the music and lyrics in the Content. If you submit Content with music for which you do not own or control those rights, this could result in serious consequences for you and for Hot Topic, for which Hot Topic would hold you responsible.
3. Do Not Submit Content that Is Objectionable. You should not post Content that could be interpreted as (a) abusive, bullying, defamatory, harassing, harmful, hateful, inaccurate, infringing, libelous, objectionable, obscene, offensive, pornographic, shocking, threatening, unlawful, violent, vulgar or in violation of any applicable laws; or (b) a display of bigotry, discrimination, hatred, intolerance, racism or inciting violence. If you post objectionable Content, this could result in serious consequences for you and for Hot Topic, for which Hot Topic would hold you responsible.
4. Do Not Post Content that Discloses Private Information. You should not post Content that discloses private or confidential information of others. If you disclose private information of others, this could result in serious consequences for you and for Hot Topic, for which Hot Topic would hold you responsible.
5. Do Not Post False or Misleading Content. Any statements made by you in your Content should be true and accurate to the best of your knowledge and should reflect your honest opinions. You should not make any intentionally misleading, deceptive, untrue, or fraudulent statements about third parties or Hot Topic products. You are responsible for checking your facts before you make any claims.
6. Do Not Endorse or Adopt Third Party Content. In order to avoid potential intellectual property infringement claims, you must not endorse, copy, adopt or incorporate third-party content. As an HT Partner, Content you post should highlight Hot Topic merchandise only. If you’re wearing or using any third-party branded items in your Content/Social Media Posts, make sure their logos or branding aren’t visible.
VII. FEDERAL TRADE COMMISSIONS SOCIAL MEDIA ENDORSEMENT GUIDELINES
All Social Media Posts must comply with the following FTC social media endorsement guidelines. Please note that these guidelines were not created by Hot Topic and are applicable to all social media influencers.
1. All your Social Media Posts must clearly and conspicuously disclose your material connection with Hot Topic. Each disclosure must be located in close proximity to the corresponding Social Media Post. Each Social Media Post must also strictly comply with the Federal Trade Commission guidelines on social media endorsements, some of which can be found at: https://www.ftc.gov/system/files/documents/plain-language/1001a-influencer-guide-508_1.pdf. Please follow these guidelines, as they relate to legal requirements that both you and Hot Topic must follow.
2. Below are the minimum disclosure requirements for each and every Social Media Post:
a. For any story, you must superimpose the hashtag “#ad” banner in a clear and conspicuous manner on the story. The banner must contrast against the video or picture in a way that makes the banner clear and easy to read. Where possible, you should tag Hot Topic’s Instagram and/or TikTok page in the story.
b. With regard to any picture or video post, you must insert the hashtags “#HTPartner” and “#SponsoredbyHT” at the beginning lines of the description or caption, before the “more” button.
3. With regard to apparel or merchandise featured in your Social Media Posts, all statements made by you must reflect your honest opinions, beliefs, and experiences. You should not make any false or misleading statements regarding featured apparel or merchandise.
4. AWe will monitor your compliance with FTC social media endorsement guidelines. If you fail to comply with these FTC guidelines, we may request you to modify, remove, or replace the subject Social Media Post. Failure to comply with a request may result in removal from the Program.
5. HT Partners in Canada must also comply with the Influencer Marketing Steering Committee Disclosure Guidelines, which can be found at https://adstandards.ca/wp-content/uploads/Ad-Standards-Influencer-Marketing-Steering-Committee-Disclosure-Guidelines_FALL2020_EN.pdf.
VIII. LICENSES AND RIGHTS
1. You hereby grant to Hot Topic the non-exclusive, worldwide, fully paid-up, royalty-free, sublicensable and transferable right and license (but not the obligation) to use, display, perform, reproduce, transmit, distribute, prepare derivative works from and modify your Social Media Posts, or any portion thereof, for any and all commercial and non-commercial purposes. You further agree that Hot Topic is free to use any ideas, concepts, know-how or techniques contained in any Social Media Posts for any purposes whatsoever. You understand and agree that you will not receive any additional payment, compensation, or consideration from Hot Topic for any such use. Your sole compensation for creating and posting the Social Media Post is the commission you may earn from resulting product sales.
2. To the extent you appear in or are otherwise involved in or with the Social Media Post, you also hereby grant Hot Topic a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use your name, social media name, handle, account name, screen name, biographical information, image, appearance, voice, persona, character, likeness and any other indicia of your identity (collectively, “Publicity Rights”) in connection with the Social Media Posts (and any derivative works created therefrom) without additional compensation of any kind. You acknowledge and agree that your sole compensation for participating in the Program and creating or sharing Social Media Posts, including any use of your Publicity Rights, is the commission you may earn from product sales resulting from those posts.
3. If required, you agree to execute additional documents that give effect to this license. If Hot Topic is unable, for any reason, to secure your signature to memorialize the grant, transfer, or assignment of any rights in and to any Content or rights granted under this Agreement, you hereby irrevocably designate and appoint Hot Topic or its duly authorized officers and agents as your agents and attorneys-in-fact to act for purposes of executing any documents necessary to give effect to this license or any right granted herein.
4. You also understand and agree that any Content shared by Hot Topic on its Social Media Accounts will be subject to the applicable social media platform’s terms of service or terms of use. Those terms may allow other users of the platform to further reproduce, distribute, share, prepare derivative works from, display, and perform the Content. By posting Content, you agree to use of the Content by others on social media as permitted by the applicable social media platform’s terms of service/terms of use.
VIII. ADDITIONAL TERMS
1. The Program is offered at the sole discretion of Hot Topic. Hot Topic reserves the right, without limitation, to terminate, change, limit, modify, or cancel the Program or any rules, regulations, benefits, commission rates, or conditions of participation at any time. WE RESERVE THE RIGHT TO CHANGE OR MODIFY THESE TERMS AND CONDITIONS AT ANY TIME BY POSTING THE UPDATED TERMS AT https://www.hottopic.com/htpartnerterms. IF THE MODIFICATION IS CONSIDERED A MATERIAL CHANGE TO THE TERMS AND CONDITIONS, HOT TOPIC WILL NOTIFY YOU VIA EMAIL OF THE NEW OR DIFFERENT TERMS. YOUR CONTINUED PARTICIPATION IN THE PROGRAM AFTER SUCH NOTICE WILL CONSTITUTE YOUR ACCEPTANCE OF THE NEW OR DIFFERENT TERMS. YOU SHOULD PERIODICALLY VISIT WWW.HOTTOPIC.COM TO REVIEW THE THEN CURRENT TERMS TO WHICH YOU ARE BOUND.
2. By requesting to join the Program, you acknowledge and agree that nothing in the Program or your participation in the Program creates any employment relationship between you and Hot Topic. Any and all participation from you will be provided at your sole discretion, and you agree that you or Hot Topic may end your participation in the Program at any time for any reason, with or without notice.
3. Abuse of the Program, failure to follow these Terms and Conditions, any misrepresentation of fact relating to your participation in the Program (including eligibility), or other improper conduct as determined by Hot Topic in its sole judgment may result in removal from the Program.
4. Hot Topic expects all HT Partners to conduct themselves at all times with due regard to public conventions and morals and not commit any act that would disparage or damage Hot Topic’s or the Program’s reputation. Hot Topic may, in its sole discretion, remove a HT Partner from the Program if the HT Partner (a) is convicted of or charged with any criminal act or other act involving moral turpitude, drugs, or felonious activities; (b) commits any act or becomes involved in any situation or occurrence which brings the HT Partner into public contempt, scandal, or ridicule; or (c) publicly disparages or damages the name or reputation of Hot Topic or an affiliated company.
5. The Program is offered to individuals only. Corporations, associations or other groups may not participate in the Program.
6. All questions or disputes regarding the Program, including compliance with these Terms and Conditions, will be resolved by Hot Topic in its sole discretion, to the maximum extent permitted by law.
7. Hot Topic's Privacy Policy will apply to the Program, all information Hot Topic receives from HT Partners when they apply for and participate in the Program, and all information obtained from or generated through LoudCrowd in connection with Program. Please read our Privacy Policy before requesting to join the Program. Please note that by accepting these Terms and Conditions, you are also accepting the terms of our Privacy Policy.
8. Hot Topic, its parent, subsidiaries and affiliate entities, and their respective officers, directors, employees, and agents (the "Released Parties") make no warranty, express or implied, including, but not limited to, any warranties of merchantability or fitness for a particular purpose with respect to the Program, membership in the Program, or any rewards, products, benefits or services received as part of the Program.
9. BY PARTICIPATING IN THE PROGRAM, EACH HT PARTNER HEREBY RELEASES THE RELEASED PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, AND OTHER EXPENSES (INCLUDING, WITHOUT LIMITATION, ATTORNEY'S FEES) RELATING TO THAT HT PARTNER’S: (A) PARTICIPATION IN THE PROGRAM, (B) CONTENT/SOCIAL MEDIA POSTS OR PUBLICITY RIGHTS (OR HOT TOPIC’S USE THEREOF); AND (C) AGREEMENT TO THESE TERMS AND CONDITIONS. THE RELEASED PARTIES WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE PROGRAM, CONTENT/SOCIAL MEDIA POSTS, PUBLICITY RIGHTS, OR ANY OTHER BENEFITS, PRODUCTS OR SERVICES PROVIDED THROUGH THE PROGRAM, EVEN IF ANY OR ALL OF THE FOREGOING OR ANY OF THEIR AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Each HT Partner agrees to indemnify, defend and hold the Released Parties harmless from and against any and all liability and costs (including, without limitation, attorneys' fees and costs) incurred by the Released Parties in connection with any claim arising out of any breach by the HT Partner of these Terms and Conditions. Each HT Partner will cooperate as fully as reasonably required in the defense of any claim. Hot Topic reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the HT Partner and the HT Partner will not in any event settle any matter without the written consent of Hot Topic.
11. The HOT TOPIC trademark and/or logo, and HOT TOPIC taglines or slogans are the intellectual property of Hot Topic. Artwork, photography, and logos, including the logos and taglines used in conjunction with the Program, on this web site or in print, are copyrighted intellectual property of Hot Topic. These logos and materials may not be used, reproduced, replicated or doctored in any manner without the written consent of Hot Topic.
12. Governing Law, Arbitration, and Class Action Waiver
a. These Terms and Conditions, and the interpretation of these Terms and Conditions, will be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflicts of laws principles.
b. YOU UNDERSTAND AND AGREE THAT ALL CLAIMS, DISAGREEMENTS, DISPUTES OR CONTROVERSIES BETWEEN YOU AND HOT TOPIC, AND ANY OTHER RELEASED PARTY, ARISING OUT OF OR RELATING TO THE PROGRAM, YOUR PARTICIPATION IN THE PROGRAM, YOUR SOCIAL MEDIA POSTS/CONTENT OR PUBLICITY RIGHTS (OR HOT TOPIC’S USE THEREOF), PRODUCTS OR SERVICES PROVIDED THROUGH THE PROGRAM, OR THESE TERMS AND CONDITIONS WILL BE RESOLVED BY FINAL AND BINDING ARBITRATION. ALL DISPUTES WILL BE DETERMINED BY BINDING ARBITRATION (1) ADMINISTERED BY THE JUDICIAL ARBITRATION AND MEDIATION SERVICES, INC. (“JAMS”), PURSUANT TO THE JAMS STREAMLINED ARBITRATION RULES & PROCEDURES IN EFFECT (THE “JAMS RULES”), AND AS MODIFIED BY THIS AGREEMENT TO ARBITRATE; (2) CONDUCTED BY A SINGLE, NEUTRAL ARBITRATOR; AND (3) TAKE PLACE TELEPHONICALLY UNLESS AN IN-PERSON HEARING IS SPECIFICALLY REQUESTED BY EITHER PARTY, IN SUCH CASE IN-PERSON HEARINGS WILL TAKE PLACE IN THE COUNTY OF THE BILLING ADDRESS ASSOCIATED WITH YOUR ACCOUNT, OR THE COUNTY WHERE YOU RESIDE, IN THE INSTANCE WHERE NO ACCOUNT EXISTS. TO THE EXTENT THAT THIS AGREEMENT TO ARBITRATE CONFLICTS WITH THE JAMS POLICY ON CONSUMER ARBITRATIONS PURSUANT TO PRE-DISPUTE CLAUSES MINIMUM STANDARDS OF PROCEDURAL FAIRNESS (THE “MINIMUM STANDARDS”), THE MINIMUM STANDARD IN THAT REGARD WILL APPLY. DISPUTES MAY ALSO BE REFERRED TO ANOTHER ARBITRATION ORGANIZATION IF YOU AND HOT TOPIC AGREE IN WRITING, OR TO AN ARBITRATOR APPOINTED PURSUANT TO SECTION 5 OF THE FEDERAL ARBITRATION ACT. The JAMS Rules are available on its website at http://www.jamsadr.com/rules-streamlined-arbitration/ or by calling JAMS at 800-352-5267. To commence an arbitration, a Demand for Arbitration is required to be executed and served on Hot Topic. Service of the Demand for Arbitration on Hot Topic can be mailed to the Hot Topic Legal Department, 18305 E. San Jose Ave., City of Industry, CA, 91748, pursuant to the instructions provided by JAMS to submit a demand for arbitration. Service of the Demand for Arbitration on you will be sent to the address associated with your account or your residence. Further instructions on submitting a Demand for Arbitration can be found at https://www.jamsadr.com/files/Uploads/Documents/JAMS_Arbitration_Demand.pdf. Hot Topic will bear the cost of your initial filing fee.
c. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND HOT TOPIC AGREE THAT ANY AND ALL DISPUTES WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS OR REPRESENTATIVE ACTION. NEITHER YOU NOR HOT TOPIC WILL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS IN ARBITRATION BY OR AGAINST OTHER HT PARTNERS/PARTICIPANTS/ CONSUMERS, OR ARBITRATE ANY CLAIM AS A REPRESENTATIVE OR MEMBER OF A CLASS OR IN A PRIVATE ATTORNEY GENERAL CAPACITY, TO THE MAXIMUM EXTENT PERMITTED BY LAW. Further, unless both you and Hot Topic expressly agree otherwise, the arbitrator may not consolidate more than one person’s claim.
d. In the event you commence arbitration, after Hot Topic receives notice that you have initiated arbitration, Hot Topic will promptly reimburse you for your payment of the filing fee and Hot Topic will pay any case management fees associated with the arbitration and the professional fees for the arbitrator’s services.
13. These Terms and Conditions constitute the entire agreement between you and Hot Topic pertaining to the subject matter hereof and supersede all previously published terms and/or conditions in their entirety, as well as any prior or other arrangements, understandings, negotiations and discussions, whether oral or written. No waiver of any of the provisions of these Terms and Conditions will be deemed or will constitute a waiver of any other provisions hereof (whether or not similar), nor will waiver constitute a continuing waiver unless otherwise expressly provided.
14. If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision will be severed from the remainder of these Terms and Conditions, which will otherwise remain in full force and effect.
